Terms & Conditions
The agreement between More Reach and its clients.
Last updated: [DATE]. Version 1.0.
Before launch: this document must be reviewed once by a qualified UK solicitor, and every token in square brackets replaced. The clauses below are drafting material taken from the More Reach Platform Operating Specification §16.5. They are not legal advice.
1. Who we are
These terms apply to services provided by More Reach ("we", "us", "our"), of 47 Brooks End, Rochdale, OL11 5XX, United Kingdom. [Registered in England and Wales, company number [NUMBER].] [VAT registration number [NUMBER].] You can contact us at contact@morereach.uk.
By signing up for a More Reach subscription you agree to these terms.
2. What we provide
More Reach creates social media content for your business on a monthly subscription. Your package determines how many content items you receive each calendar month. Content is produced from photographs, information and materials you supply.
We do not guarantee any particular level of engagement, reach, followers, enquiries or sales. Social media results depend on factors outside our control.
3. Term and termination
This agreement begins on the date of your first payment and continues for an initial minimum term of three (3) months. Following the initial term, the agreement continues on a rolling monthly basis until terminated by either party giving not less than thirty (30) days' written notice by email. Notice given during the initial minimum term will take effect no earlier than the end of that term.
4. Fees and payment
Fees are payable monthly in advance by direct debit. Your monthly fee is fixed at the rate agreed at sign-up and will not increase for the duration of a continuous, uninterrupted subscription. Where a subscription is cancelled and subsequently reinstated, the fee will be More Reach's list price applicable at the date of reinstatement.
5. Failed payment
Where a payment fails, we will notify you and attempt collection again. If payment has not been received within fourteen (14) days of the due date, we may suspend the provision of services until the account is brought up to date. Suspension does not terminate this agreement and does not suspend your obligation to pay fees for the period of suspension. Content already created for you is not deleted.
6. Changing your package
You may upgrade at any time, effective immediately, with the difference in fee pro-rated for the remainder of the current billing month. You may downgrade with effect from the first day of the following calendar month, provided the initial minimum term has been completed.
7. Monthly allowance
Your package entitles you to a stated number of content items per calendar month. Unused entitlement does not carry forward. Requests submitted in excess of the monthly entitlement will be queued and fulfilled from the following month's allowance, or may be purchased individually at the prevailing additional-item rate.
8. Approval and publication
No content will be published to your social media accounts without your prior approval. Each content item includes one round of amendments at no additional cost. Further amendments may be treated as a new content request against your monthly allowance.
Where you ask us to publish on your behalf, you will grant More Reach partner or page access through your own business account. We will never ask for your password, and you may withdraw that access at any time.
9. Ownership of content
On payment of the relevant monthly fee, all intellectual property rights in content created for you under this agreement pass to you. You grant More Reach a non-exclusive licence to reproduce that content for the purposes of portfolio, case study and marketing use, which you may withdraw in writing at any time.
10. Your materials
You confirm that you own or are licensed to use all photographs, logos and other materials supplied to us, and that our use of those materials will not infringe the rights of any third party. You agree to indemnify us against any claim arising from materials you supply.
11. Liability
Solicitor to draft. Limitation of liability, exclusions, and the statutory rights that cannot be excluded. Do not publish this page with this section incomplete.
12. Data protection
We process personal data in accordance with our Privacy Policy and UK data protection law. More Reach is registered with the Information Commissioner's Office, registration number [ICO NUMBER].
13. Governing law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
